Terms of Service

By creating an account, registering a pharmacy, or using any RxGain service, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use RxGain.

These terms constitute a legally binding agreement between you ("User", "Pharmacy", "Tenant") and Careerlinkk Digital Ventures Ltd ("Careerlinkk", "RxGain", "Company"), the owner and operator of the RxGain platform.

RxGain is a cloud-based, multi-tenant pharmaceutical inventory management platform that provides:

• Drug expiry tracking and automated alerts
• AI-powered inventory insights
• Multi-branch pharmacy management
• NAFDAC compliance monitoring
• Supplier return management
• Point-of-sale functionality
• HMO claims management
• WhatsApp integration for alerts

The service is provided "as-is" and may be updated or changed at any time with reasonable notice.

To use RxGain you must:

• Be 18 years of age or older.
• Be a registered pharmacy owner, manager, or staff working for a licensed pharmacy entity in Nigeria.
• Have a valid email address.
• Agree to abide by all applicable Nigerian laws including PCN and NAFDAC regulations.

Corporations and businesses may use RxGain. The individual creating the account warrants they have authority to bind the organization.

4.1 Account creation: You are responsible for providing accurate information. False information may result in account suspension.

4.2 Account security: You are responsible for maintaining the security of your login credentials. RxGain is not liable for losses resulting from unauthorized access due to your failure to secure your credentials.

4.3 Account sharing: Each login is for one individual. Sharing credentials between staff is prohibited. Accounts are role-based: create separate accounts for each team member.

4.4 Account suspension: RxGain may suspend or terminate accounts that violate these terms, engage in fraudulent activity, fail to pay subscription fees, or are used to harm other users or RxGain.

5.1 Plans: RxGain offers Free, Pro, and Enterprise plans. Features and limitations are described at rxgain.ng/pricing.

5.2 Billing:

• Pro and Enterprise plans are billed monthly or yearly.
• All amounts are in Nigerian Naira (NGN).
• Payments processed by Paystack (PCI DSS compliant).
• You authorize recurring charges on your selected cycle.

5.3 Free trial: The 14-day free trial is available once per pharmacy. No credit card required for trial. Access to Pro features during trial period. Automatic downgrade to Free at trial end (no charge without explicit upgrade).

5.4 Refunds: Monthly subscriptions: no refunds for partial months. Yearly subscriptions: pro-rated refund within 30 days if service is materially different from what was sold. Refund requests: info@careerlinkk.com.

5.5 Price changes: We will give 30 days notice before price increases. Price changes apply at your next billing cycle.

You agree NOT to use RxGain to:

6.1 Legal violations:

• Record or dispense drugs without proper PCN licensing.
• Falsify NAFDAC records or compliance reports.
• Sell counterfeit or unregistered drugs.
• Money laundering or financial fraud.

6.2 Technical abuse:

• Attempt to hack, crack, or reverse-engineer the platform.
• Overload our servers with automated requests.
• Scrape data without permission.
• Introduce malware or malicious code.
• Circumvent access controls or security measures.

6.3 Data misuse:

• Use other users' data without their consent.
• Attempt to access other pharmacy groups' data.
• Export data for use by unauthorized parties.

Violations may result in immediate termination without refund and may be reported to authorities.

7.1 Your data: All product data, sales records, and business information you enter into RxGain belongs to YOU. RxGain does not claim ownership of your business data.

7.2 Our platform:RxGain's software, design, algorithms, and intellectual property belong to Careerlinkk Digital Ventures Ltd. You receive a license to use the platform. You do not receive ownership of any Careerlinkk or RxGain IP.

7.3 Data export: You can export your data at any time in CSV format. We encourage regular exports as good practice.

RxGain treats all your pharmacy data as confidential. We will not disclose your business information to competitors or third parties except as described in our Privacy Policy. You agree to keep your API keys and login credentials confidential and not share them with unauthorized parties.

9.1 Uptime: We target 99.9% uptime for Pro and Enterprise plans. Scheduled maintenance: announced 48 hours in advance. Emergency maintenance: as needed with best-effort notice.

9.2 No guarantee: Free plan users do not have uptime guarantees. We are not liable for losses due to downtime beyond the amounts paid to us in the relevant month.

9.3 Force majeure: We are not liable for service failures caused by events outside our reasonable control including power failures, internet outages, natural disasters, or government actions.

RxGain's name, logo, design system, and codebase are protected intellectual property of Careerlinkk Digital Ventures Ltd.

You may not:

• Copy, clone, or resell the RxGain platform.
• Use the RxGain name or logo without written permission.
• Create derivative works from our software.

You are granted a limited, non-exclusive, non-transferable license to use RxGain for your internal pharmacy management purposes only.

TO THE MAXIMUM EXTENT PERMITTED BY NIGERIAN LAW, RxGain is NOT liable for:

• Loss of profits due to drug expiry despite our alerts.
• NAFDAC penalties (we help you comply; final responsibility is yours).
• Data loss beyond what we could have prevented with reasonable care.
• Third-party service failures (Paystack, Twilio, etc.)

Our total liability to you in any 12-month period shall not exceed the amount you paid to RxGain in that same period.

RxGain is provided "as is" and "as available." We make no warranty that the service will be uninterrupted or error-free, that all pharmaceutical data in our system is complete, or that AI insights are accurate in all circumstances.

AI-generated insights are suggestions only. Professional pharmacist judgment always applies. RxGain does not replace professional pharmaceutical advice or regulatory compliance expertise.

You agree to indemnify and hold RxGain harmless from any claims, losses, or damages arising from your violation of these Terms, your use of the platform in ways not intended, your violation of any applicable Nigerian pharmacy or drug regulations, or third-party claims arising from your use of RxGain.

14.1 By you:Cancel anytime from Settings > Billing. Access continues until end of paid period. Data retained for 90 days after cancellation.

14.2 By RxGain: We may terminate your account for material breach of these Terms, non-payment after 14-day grace period, or by giving 30 days notice without cause.

Upon termination: export your data immediately. After 90 days: data permanently deleted.

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes will be resolved in Nigerian courts with jurisdiction in Lagos State, Nigeria. We encourage resolving disputes amicably first. Contact: info@careerlinkk.com.

We may update these Terms at any time. Material changes: 30 days notice by email. Minor changes: updated "Last updated" date. Continued use after notice = acceptance.
